The warrants are being issued in connection with a recently completed prospectus offering of units by Ivanhoe Mines, each unit consisting of one common share and one-half of a warrant. Each whole warrant entitles the holder to purchase one additional common share of Ivanhoe Mines at a price of $12.00 at any time until the date that is one year following the closing of the offering and at a price of $12.50 at any time thereafter until the date that is two years following the closing of the offering. The warrants will be governed by the terms of a warrant indenture between Ivanhoe Mines and CIBC Mellon Trust Company, as trustee. The warrant indenture will provide for appropriate adjustments to the warrants in the event of stock dividends, subdivisions, consolidations and other forms of capital reorganization.
