Further to VSE notices dated April 18, April 5 and February 20 1995, the company recently completed an offering of its convertible debentures via an SMF, raising $5,000,000. The 10% convertible redeemable series A debentures were posted and called for trading on April 19 1995.
As part of the SMF, the SMF qualified the first trade of any shares issued on the exercise of certain warrants which were originally issued under three separate private placements. These warrants were issued with a one year term exercisable for up to 2,930,000 shares at $1.00 and are held by 55 warrant holders. The VSE, International Thunderbird Gaming Corp, Canaccord Capital and the warrant holders, whose warrants expire April 29, May 3 and May 16 1995, have agreed to extend the terms of the warrants for one further year to expire April 30 1996, so long as the following conditions are met: (a) the warrants are posted and called for trading by no later than May 17 1995; (b) the exercise price for each warrant be increased for the second year to $1.15; (c) the warrants are amended to delete the non-transferability feature and put into transferable form; (d) a new warrant certificate is issued to each warrant holder.
