461847 will distribute to shareholders of record at the close in Vancouver July 26 1994, as well as to persons who present to Montreal Trust bearer share certificates representing at least 500 common shares of the company, rights to purchase adjusting balance notes of the company.

One right will be issued for each share held or presented. One right entitles the holder to purchase $0.56 principal amount of notes at $0.312. The company will issue to each person who purchases notes on the exercise of rights 1.166666666 shares for each $0.56 principal amount of the notes purchased.
