Holders of subordinate voting shares of record as of the close of business on Jan. 23, 2001, (the record date) will be granted one right for each share held. Each unit will comprise (i) one Class A subordinate voting share of ClearWave N.V., an indirect wholly owned subsidiary the company, and (ii) an option to purchase, for no additional consideration,
one subordinate voting share of the company by surrendering the unit (the TIW exchange option) at any time from the issuance of the units to 4:30 p.m. (Montreal time) on June 30, 2002 (the unit termination date).
