Rainmaker Entertainment rights offering

2013-03-07 20:29 ET - Rights Offering

Rainmaker Entertainment Inc. will grant shareholders of record at March 13, 2013, rights to purchase 8-per-cent unsecured convertible debentures of the company that mature on March 31, 2016, according to the Toronto Stock Exchange. One right will be issued for each share held on the record date.

Basis of offering: Three thousand rights plus $1,000 entitles the holder to buy one $1,000 principal amount of the debentures. The debentures will be convertible into Rainmaker shares at 20 cents per share.
Shares trade ex rights: March 11, 2013
Rights expire: 4:30 p.m. (Toronto time) on April 9, 2013
Trade dates:
Trades on April 4, 2013, will be for special settlement on April 8, 2013
Trades on April 5 and April 8, 2013, will settle on the next business day in cash
Trades to 12 p.m. (Toronto time) on April 9, 2013, will settle on the same day in cash
