Holders of Class A restricted voting shares, Class B non-voting shares, first preferred voting shares, first preferred non-voting shares, second preferred voting shares and second preferred non-voting shares,
of record as of the close on April 2, 2004, are entitled to one right for every share of the company held on such record date. The rights are evidenced by transferable rights certificates registered in the names of holders of shares of record on the record date on the basis of
one right for each share held.
