Hilton Petroleum rights offering

2000-06-19 18:42 ET - Rights Offering

The company will offer to shareholders of record at June 29, 2000, rights to purchase units of the company. One right will be issued for each share held. Each unit consists of one common share and one share purchase warrant. Two share purchase warrants will entitle the holder to purchase one common share at a price equal to the exercise price plus 25 cents until July 27, 2001, and at a price equal to the exercise price plus 50 cents thereafter and until July 27, 2002. As at June 15, 2000, the company had 27,503,961 common shares issued and outstanding.

Basis of offering: Seven rights exercisable for one unit at the greater of $2.25 and the price that is 10 per cent below the closing market price of the company's common shares on July 20, 2000
