Holders of common shares (symbol: BOL) of record as of the close of business on July 12, 2001, will be granted the right to subscribe for two additional common shares for each common share of the company held on such record date at a subscription price of 30 cents per common share, and holders of 5 per cent cumulative convertible redeemable preferred shares, Series 1 (symbol: BOL.PR.A), will be granted the right to subscribe for 28.7606 common shares for each preferred share of the company held on such record date at a subscription price of 30 cents per common share. The rights are evidenced by transferable rights certificates registered in the names of holders of common shares and of preferred shares of record on the record date on the basis of one right for each common share held and 14.3803 rights for each preferred share held. One right will entitle the holder to subscribe for two common shares at the subscription price of 30 cents per common share (the initial subscription privilege).

Rights give existing shareholders a chance to proportionately buy shares in the new issue the company is putting out to raise more funds. The certificate showing this privilege is called a right.  It  gives the stockholders the first opportunity,  to buy the new securities.

Rights issue

An offer made by a  company to its shareholders to enable them to buy new shares in the company at a discount to the market price.
