Caza Gold Corp.'s initial public offering prospectus dated Oct. 21, 2010, has been filed with and accepted by the TSX Venture Exchange, and filed with and receipted by the British Columbia, Alberta and Ontario securities commissions on Oct. 25, 2010, pursuant to the provisions of the applicable securities acts.
The gross proceeds received by the company for the offering were $2.8-million (eight million units at 35 cents per unit). Each unit comprises one common share of the company and one-half of one common share purchase warrant; each full common share purchase warrant will entitle the holder thereof to purchase one common share at an exercise price of 45 cents per warrant share for a period of 18 months from the date of closing of the IPO, subject to early expiry. In the event that the volume-weighted average trading price of the company's common shares exceeds 70 cents for a period of 20 consecutive trading days, the company may, within five days after such an event, provide notice to the warrantholders of early expiry and thereafter, the warrants will expire on the date which is 30 days after the date of the notice to the warrantholders.
