The board of directors recommended certain changes to the terms of the warrants expiring on October 15 1997 and the warrants expiring on August 9 1998.

RUX adjusted the exercise price of the warrants originally granted in April 1996, entitling the holders to acquire in the total of 1,858,400 shares at $1.50 until the effective expiry date of October 15 1997. Effective September 26 1997 the exercise price will be reduced from $1.50 per share to $0.175 per share, so that on or before October 15 1997, five warrants plus $0.175 would entitle the holder to receive one RUX share. The warrants trade under the symbol RUXR.WT on the CDN. The CUSIP number is 74974V 116.

RUX also proposes to temporarily adjust the exercise price of another series of warrants originally granted in August 1996, entitling the holders to acquire in the total 2,564,320 shares at $0.58 until the expiry date of August 9 1998. Effective September 26 1997, the exercise price will be $0.175 per share if such warrants are exercised on or before October 15 1997: otherwise, the exercise price will be $0.58 per share. The proposed adjustment is subject to the consent of the holders of such warrants. Agreements requesting consent to the temporary adjustment to the exercise price have been sent to the holders of such warrants.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
