Numinus Wellness to trade on TSX Dec. 16

The Toronto Stock Exchange reports that Numinus Wellness Inc. will be listed and posted for trading on the TSX at the open on Dec. 16, 2021. According to the TSX, there are 203,782,229 common shares, 5,438,557 common share purchase warrants (the warrants), 9,472,683 common share purchase warrants (the B warrants) and 16.1 million common share purchase warrants (the C warrants) of the company issued and outstanding, and 64,656,356 shares reserved for issuance. The share will trade under the symbol NUMI and Cusip No. 67054W 10 3, the warrants will trade under the symbol NUMI.WT and Cusip No. 67054W 11 1, the B warrants will trade under the symbol NUMI.WT.B and Cusip No. 67054W 12 9, and the C warrants will trade under the symbol NUMI.WT.C and Cusip No. 67054W 13 7. The trading currency for all of the securities is the Canadian dollar.

The TSX Venture Exchange has accepted for listing the 9.2 million warrants issued pursuant to Numinus Wellness Inc.'s previously announced prospectus offering that closed on Sept. 10, 2020.

The warrants will be listed for trading on the TSX-V under the symbol NUMI.WT, effective at market open on Monday, Sept. 21, 2020.

Each warrant entitles the holder thereof to acquire one common share of the company at an exercise price of 35 cents until September 10, 2022. The warrants were issued pursuant to, and are governed by, a warrant indenture between the company and Computershare Trust Company of Canada, dated Sept. 10, 2020.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
