Nextpoint Acquisition name change

According to the TSX, as part of the transaction, Nextpoint Acquisition has changed its name to Nextpoint Financial Inc. and the Class A shares of the company, unless previously redeemed, have been converted on a 1:1 basis into common shares of Nextpoint Financial. Nextpoint Financial became the successor to Nextpoint Acquisition under the warrant agreement, and each outstanding Nextpoint Acquisition warrant continues and remains outstanding as a warrant, and entitles the holder to acquire, for payment of the exercise price, one common share of Nextpoint Financial.

The TSX reports that the common shares and warrants of Nextpoint Financial will be listed and posted for trading on the TSX at the open on July 6, 2021, in substitution for the Class A restricted voting shares and warrants of Nextpoint Acquisition, respectively. There will be 16,538,169 common shares and 10.3 million warrants of Nextpoint Financial issued and outstanding, and 30,171,512 common shares reserved for issuance. The Nextpoint Financial common shares will trade under the symbol NPF.U and Cusip No. 65345F 20 2, and the warrants will trade under the symbol NPF.WT.U and Cusip No. 654345F 11 1. The securities trading under symbol NPF.U and NPF.WT.U will be quoted and traded on the TSX in U.S. funds. The Nextpoint Acquisition securities will be halted at the open on July 6, 2021, and will be delisted at the close on the same day.

Securities comprising Nextpoint Acquisition Corp.'s Class A restricted voting units, being one Class A restricted voting share and one-half of a share purchase warrant, will commence trading separately on the Toronto Stock Exchange on Sept. 21, 2020. The Class A restricted voting shares and warrants will trade under the symbols NAC.U and NAC.WT.U, respectively.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
