Iamgold outlines Cambior warrant conversions

In Stockwatch news Nov. 8, 2006, Iamgold Corp. reported the successful completion of its transaction with Cambior Inc., by which the company acquired all the outstanding shares of Cambior. As part of the acquisition, all outstanding warrants exercisable for Cambior shares are exchangeable for warrants of the company on a one-for-one basis. Each Iamgold warrant is exercisable, upon payment of $3.75, for 0.42 of a common share of the company; however, no fractional shares will be issued and any resulting fractional share shall be rounded up or down to the nearest whole number. Effectively, every 2.38 Iamgold warrants are exercisable for one Iamgold share at a price of $8.93. All other terms and conditions of the Iamgold warrants are substantially the same as the terms and conditions of the Cambior warrants, including, without limitation, the expiry date of Aug. 12, 2008.

As of the closing date of the acquisition, 20 million Cambior warrants were cancelled in exchange for 20 million Iamgold warrants. The 20 million Iamgold warrants are exercisable for a total of 8.4 million common shares of the company. The Iamgold warrants are traded on the Toronto Stock Exchange under the symbol IMG.WT.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
