Shareholders of Galveston,
International Corona, Mascot and
Royex at special meetings held June
3 1988 approved the amalgamation by
way of arrangment of the four new
companies with Lacana Mining
Corporation, PezCorona Gold
Corporation, New Venture Equities
Inc, and Blackbird Resources Inc, to
form a continuing company under the
name of Corona Corporation. The
amalgamation is to become effective
July 1 1988.
When the amalgamation becomes effective, the shares of the amalgamating companies, other than those held by the other amalgamating companies, will be converted into shares of Corona on the following basis.
Galveston:. 0.43 class A subordinate voting shares of Corona for each one class A share of Galveston and 0.43 class B common shares of Corona for each one class B common share of Galveston.
Int'l Corona:. One class A share for each one common share of International Corona
Lacana:. 1.32 class A shares for each one Lacana common share
Mascot:. 1.11 class A share for each Mascot common share
Royex:. 0.61 class A share for each one Royex common share; one convertible first preference share, series A of Corona for each one Royex series A first preference share; one convertible first preference share, series B of Corona for each one Royex series B preference share; and one convertible first preference share, series C of Corona for each on Royex series C preference share.
Letters of transmittal are to be mailed on or about July 1 1988 to shareholders of the amalgamating companies requesting them to deliver their share certificates to the Canada Trust Company at its principal office in Toronto, Montreal, Vancouver or Calgary in exchange for certificates representing the shares of Corona to which they are entitled under the terms of the amalgamation.
Effective at the opening, July 4 1988, the class A shares, class B shares, series A preference shares, series B preference shares and series C preference shares of Corona Corporation will be posted and called for trading and the presently listed shares of Galveston, International Corona, Mascot and Royex will be delisted. The company is, under the rules of the exchange, an exempt company.

Effective at the opening, June 27 1988, the share purchase warrants of Corona Corporationwill be posted and called for trading on the VSE. These warrants are to be distributed to shareholders of Galveston, International Corona and Royex as described below.
Galveston, Int'l Corona and Royex have each announced a distribution of warrants to shareholders of record at the close of business on June 30 1988 (record date).
Holders of Galveston class A subordinate voting shares or class B common shares on the record date will be entitled to receive one warrant exercisable for class A shares of Galveston for each 23 class A shares or each 23 class B shares held on the record date. One Galveston warrant entitles the holder to purchase 2.3255 class A shares of Galveston at $5.16 per share, commencing after July 15 1988, until 4:00 p.m., June 30 1990.
Holders of Int'l Corona common shares on the record date will be entitled to receive one warrant exercisable for common shares of Corona for each six common shares held on the record date. One Int'l Corona warrant entitles the holder to purchase one common share at $12.00 per share, commencing after July 15 1988, until 4:00 p.m. June 30 1988.
Holders of Royex common shares on the record date will be entitled to receive one warrant exercisable for com mon shares of Royex for each 13 common shares held on the record date. One Royex warrant entitles the holder to purchase 1.6393 Royex common share at $7.32 per share, commencing after July 15 1988 until 4:00 p.m., June 30 1990.
A plan of arrangement between Galveston, Int'l Corona, Royex, Mascot Gold Mines Limited, Lacana Mining Corporation, PezCorona Gold Corporation, New Venture Equities Inc and Blackbird Resources Inc is scheduled to become effective July 1 1988 with the resultant corporation being Corona Corporation. Upon the arrangement becoming effective, each of the Galveston warrants, Int'l Corona warrants and Royex warrants will entitle the holder to purchase one class A subordinate voting share of Corona for $12.00 commencing after July 15 1988 until 4:00 p.m., June 30 1990. Provided that the arrangement becomes effective on July 1 1988, certificates for the Galveston warrants, Int'l Corona warrants and Royex warrants shall not be issued and holders shall instead be entitled to receive certificates representing the ICR warrants. For this reason, and because the Galveston warrants, Int'l Corona warrants and Royex warrants are not exercisable until after the effective date of the arrangement, the Galveston warrants, Int'l Corona warrants and Royex warrants will trade together under a single listing of ICR warrants. It is expected that ICR warrant certificates will be mailed to shareholders on or about July 4 1988.
In view of the foregoing, the class A and B shares of Galveston, the Royex common shares and the Int'l Corona warrants will all commence trading on an ex-warrant basis at the opening, June 27 1988, at which time the ICR warrants will be posted on a when distributed basis.

Warrant Terms
- Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
- Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
- Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
- Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
- Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
