Canopy Growth, Supreme Cannabis substitutional listing

The Toronto Stock Exchange reports that Canopy Growth Corp. has acquired all of the issued and outstanding shares of The Supreme Cannabis Company Inc. in consideration of: (i) 0.01165872 of a Canopy Growth share; and (ii) 0.01 cent in cash, for each outstanding Supreme Cannabis share. As a result of certain procedures of Computershare Investor Services Inc. (the depositary), Supreme Cannabis shareholders will receive: (i) 0.011659 of a Canopy Growth share; and (ii) 0.01 cent in cash, for each Supreme Cannabis share held.

As a result of the foregoing, securities of Canopy Growth will be listed and posted for trading on June 24, 2021, in substitution for the currently listed securities of Supreme Cannabis, which will be delisted at the same time, as shown in the attached table.

The January, 2021, warrants have been adjusted so that for each January, 2021, warrant exercised, the holder will be entitled to receive 0.011659 of a Canopy Growth share and 0.01 cent in cash for a price of 23 cents. The expiry time of the January, 2021, warrants remains the same at 5 p.m. Toronto time on Jan. 29, 2024. The equivalent exercise price for one full Canopy Growth share is approximately $19.78.
The February, 2021, warrants have been adjusted so that for each February, 2021, warrant exercised, the holder will be entitled to receive 0.011659 of a Canopy Growth share and 0.01 cent in cash for a price of 40 cents. The expiry time of the February, 2021, warrants remains the same at 5 p.m. Toronto time on Feb. 19, 2024. The equivalent exercise price for one full Canopy Growth share is approximately $34.40.
The debentures have been adjusted so that for each $1,000 principal amount of debentures converted, the holder will be entitled to receive 40 Canopy Growth shares and 35 cents in cash. The maturity date of the debentures remains Sept. 10, 2025. The equivalent conversion price is $25 per Canopy Growth share (and approximately 35 cents per $1,000 principal amount).

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
