Benton Resources Corp.'s initial public offering prospectus dated March 1, 2005,
has been filed with and accepted by the TSX Venture Exchange, and filed with and
receipted by the British Columbia, Alberta and Ontario securities commissions on
March 7, 2005, pursuant to the provisions of the applicable securities acts.

The gross proceeds received by the company for the offering were $1.38-million (2.3
million flow-through units and 2.3 million non-flow-through units (regular units) at 30
cents per unit). Each regular unit consists of one common share in the capital of the
company plus one whole share purchase warrant, with each warrant entitling the
holder to purchase one non-flow-through common share at an exercise price of 30
cents in the first year following the date of this notice and at a price of 40 cents
during the second year following the date of this notice. Each flow-through unit will
consist of one flow-through common share plus one-half of one warrant, each
whole warrant entitling the holder to purchase one non-flow-through warrant share
at an exercise price of 30 cents in the first year following the date of this notice and at
a price of 40 cents during the second year following the date of this notice. The
company is classified as a mineral exploration and development company.

Commence date:  At the opening April 13, 2005, the common shares and share
purchase warrants will commence trading on the TSX-V

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
