Dundee Acquisition's shares, warrants to trade June 1

The securities underlying Dundee Acquisition Ltd.'s Class A restricted voting units, consisting of one Class A restricted voting share and one-half of a warrant, will commence trading separately on the Toronto Stock Exchange, effective June 1, 2015. The Class A restricted voting shares and whole warrants are expected to trade under the symbols DAQ.A and DAQ.WT, respectively.

Each Class A restricted voting unit has an offering price of $10 and consists of one Class A restricted voting share and one-half of a warrant. Following a qualifying acquisition, each Class A restricted voting share will be automatically converted into one Class B share of Dundee Acquisition, and accordingly, each whole warrant will entitle the holder thereof to purchase one Class B share at an exercise price of $11.50, subject to the terms and conditions described in the final prospectus. Upon certain events, the Class A restricted voting shares, forming part of the Class A restricted voting units, will be redeemable by holders for a pro rata portion of the escrow account, net of taxes payable and other prescribed amounts and expenses, as further described in the final prospectus.

The Class A restricted voting units will commence trading on the Toronto Stock Exchange under the symbol DAQ.UN. The Class A restricted voting units will separate into Class A restricted voting shares and warrants 40 days following the closing of the offering (or the next trading day, if the 40th day is not a trading day) and will trade under the symbols DAQ.A and DAQ.WT, respectively.

Concurrent with closing, Dundee Corp. purchased 400,000 Class B units in a private placement at an offering price of $10 per Class B unit, for an aggregate purchase price of $4-million. Each Class B unit consists of one Class B share and one-half of a warrant. If the overallotment option is exercised, Dundee intends to purchase an additional 37,500 Class B units.

Warrant Terms
  • Expiration Date: The last day the warrants can be exercised. If warrants aren't going to be exercised then they must be sold the day before the expiry date. The longer the time to expiry the more valuable the warrants.
  • Leverage: A measure of how much you can increase your exposure to a share if you bought warrants instead of making a direct investment. It is the current share price divided by the current price of the warrant.
  • Intrinsic Value: The difference between the exercise price and the actual trading price of the common stock. Once the common has gone over the exercise price, the warrants are "In the Money."
  • Volatility: The higher the volatility rating, the higher the price of the warrant. Historical volatility is calculated by using the standard deviation of an underlying stock price over a specific period.
  • Time Value: The difference between the current warrant price and its intrinsic value. Interpreted as the consideration paid for the advantage the warrant buyer has over the direct investor.
