Effective at the opening November 15 1994, the 8% convertible unsecured subordinated debentures dated October 5 1994, due October 4 2004, will be posted and called for trading on the VSE and the special warrants (symbol HRC.WT.L) will be delisted.

Interest on the debentures is payable at 8% per year, half yearly June 1 and December 1. The first date on which interest is payable is December 1 1994 at 8% per year from October 5 1994.

The debentures may not be redeemed prior to October 5 1997, thereafter, and prior to October 5 1999, the debentures may be redeemed by the company if the weighted average price at which the common shares traded during 20 consecutive trading days ending on the fifth trading day preceding the date on which notice of redemption is given was not less than 125% of the conversion price. From October 5 1999 to maturity, the debentures are redeemable at any time, at the option of the company.

Each of the $1,000 principal amount of the debentures will be convertible at the option of the holder at any time before the close October 3 2004, the date immediately preceding the date of maturity of the debenture, at a conversion price of $16.50 per common share, being a rate of 60.606 common shares for each $1,000.
