Nature of business:  The company acquires and develops highly prospective oil and gas exploration areas, and continues to analyze various projects to diversify its investment, principally in Latin America but eventually intends to do so worldwide. Series A warrants:  The Series A warrants are governed by the terms of a share purchase warrant indenture between the company and Equity Transfer Services Inc. The share purchase warrant indenture provides for appropriate adjustments to the Series A warrants in the event of stock dividends, subdivisions, consolidations and other terms of capital reorganization.
Each Series A warrant entitles the holder thereof to acquire one common share at a price of $3 on or before July 20, 2007.
